By accessing or using the website at steadycompass.lat (the Site) and the services offered by 陵水经社选科技有限公司, operating as Steady Compass (we, us, or our), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site or our services.
These Terms constitute a legally binding agreement. We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use after modifications indicates acceptance.
Steady Compass provides computer systems design, systems integration, technical consulting, managed infrastructure, and related professional services. Specific scope, deliverables, timelines, and fees are defined in separate service agreements.
You agree to use the Site only for lawful purposes. Prohibited conduct includes uploading malicious code, unauthorized system access, interfering with site function, automated data extraction, impersonation, and violation of applicable laws.
All Site content is the property of Steady Compass or its suppliers and is protected by applicable laws. You may view and print content for personal, non-commercial use provided you do not modify or distribute it without our written consent.
Each party agrees to maintain the confidentiality of the other's information, use it only for the engagement purpose, and return or destroy it upon request. These obligations survive termination for three years, indefinitely for trade secrets.
To the maximum extent permitted by law, Steady Compass shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid for the specific Service giving rise to the claim during the preceding twelve months.
The Site is provided on an as-is basis. We disclaim all implied warranties. We do not warrant uninterrupted or error-free operation. Services warranties are as expressly set forth in the applicable service agreement.
You agree to indemnify Steady Compass from claims arising out of your breach of these Terms, violation of law, or unauthorized use of the Site.
We may suspend or terminate your Site access at any time without notice. Services termination rights are as set forth in the applicable service agreement. Provisions that by nature should survive termination shall survive.
These Terms shall be governed by the laws of the People's Republic of China. Disputes shall first be resolved through good-faith negotiations. If unresolved within thirty days, either party may submit to binding arbitration by the Hainan International Arbitration Court in Haikou, China. Either party may seek injunctive relief to protect intellectual property or confidential information.
Neither party shall be liable for failure to perform obligations caused by circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, government actions, labor disputes, pandemic, or telecommunications failures.
These Terms, together with applicable service agreements and our Privacy Policy, constitute the entire agreement. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce any right shall not constitute a waiver.
